Applicability of the general terms and conditions
1.1 These terms and conditions (“Terms”) apply to any offer from SemiFest Events B.V. ("SemiFest") and to all (distance) contracts between SemiFest and a party (legal entity or natural person, “Participant”) with regard to events organized by SemiFest (“Events”) or products/services provided by SemiFest.
1.2 Events are organized by SemiFest Events B.V., a public company with limited liability established at Overhoeksplein 31, 13F, 1031 KS in Amsterdam, the Netherlands.
1.3 By placing a request for any type of ticket for an Event, the Participant accepts the Terms and shall comply with and is bound by the Terms and all instructions from (employees of) SemiFest at all times.
1.4 The Terms will be made available electronically and can be downloaded from the Event’s website. We may update these Terms from time to time. Please read the Terms carefully before placing an order. If the amendments significantly affect the Participant, SemiFest will notify the Participant in advance.
1.5 The applicability of general terms and conditions or other terms and conditions of the Participant (including any purchase terms and conditions) is hereby expressly excluded.
1.6 In the event that one or more of the provisions of these Terms are null and void or declared null and void, the remaining provisions shall remain in full force and effect.
Offers, orders and conclusion of the agreement
2.1 The offer contains a full and accurate description of the product or service offered. All offers are subject to acceptance by SemiFest.
2.2 To place an order, you need to be at least 18 years old and fill out the online form on the SemiFest website (www.SemiFest.com, “Website”). SemiFest will confirm acceptance by sending a confirmation e-mail (“Order Confirmation”). The agreement between SemiFest and Participant is concluded after the Participant has received the Order Confirmation.
2.3 By making an order, the Participant warrants that he/she is 18 years or older.
2.4 SemiFest reserves the right to refuse orders or to attach further conditions to orders, without having to state reason.
Prices and payment
3.1 Prices are in Euros and all prices quoted are inclusive of VAT.
3.2 The delivery of tickets takes place at the prices and rates stated on the Website at the moment the agreement is concluded. SemiFest is entitled to change its prices and rates unilaterally. Changes in prices and rates apply from the moment that these changes are made on the Website.
3.3 Unless otherwise stipulated in the agreement, the amounts to be paid by the Participant must be settled within 14 days after concluding the agreement.
3.4 Payment of the purchase price takes place via Mollie B.V. (“Mollie Payments”). SemiFest will send the Participant an e-mail with a payment link at the same time as the Order Confirmation. Payment must be made in the manner indicated in the e-mail with the payment link. After correct payment, the Participant will receive an e-mail with payment confirmation from Mollie Payments.
3.5 The ordered tickets will be sent to the Participant before the start of the Event, provided that the purchase price for the tickets has been paid in full.
3.6 In case the Participant has not complied with the payment obligation(s) in time, and SemiFest has pointed out to him that the payment was late and allowed the Participant a period of 14 days to comply with the payment obligations, the Participant is to pay the statutory interest on the amount payable and SemiFest is entitled to charge the Participant with any administration and extrajudicial collection costs.
4.1 Ordered tickets are personal and will be delivered to the e-mail address provided by the Participant.
4.2 Ordered tickets are issued once to the Participant and tickets only provide the Participant (one-time) access to the Event and the event location issued on the ticket.
4.3 If the Participant would like to transfer a ticket to someone else, the Participant should contact the SemiFest Service Desk via firstname.lastname@example.org. Some specific types of tickets (such as Sponsored tickets) cannot be transferred.
5.1 Access to the Event is only given to the holder of the ticket. The confirmation e-mail will be asked at the entrance of the Event and SemiFest may require an ID-check.
5.2 If the Participant chooses to rely on a ticket scan from a mobile device, it is at the sole risk of the Participant and SemiFest cannot be held liable if such scan is not possible. The Participant is in such case not entitled to a refund.
5.3 Additional terms or house rules other parties that are involved in organizing, hosting or exploiting the event (for instance administrators of event venues) may apply to an Event.
5.4 Security cameras may be present at the venue before, during and after the Event.
5.5 The actual program of the Event may be different from the program as initially announced, including the announced speakers or activities. SemiFest is not liable for any claimed damages as a result of such a change.
5.6 Participants may be photographed, recorded or filmed during an Event. SemiFest reserves the right to use this material for publication and promotional purposes.
5.7 At the Event, it is not permitted to bring the following items: photo, film or other recording devices, alcoholic beverages, drugs, glassware, cans, fireworks, weapons or any other dangerous objects. SemiFest is allowed to confiscate such items.
5.8 During the Event, special experiences and facilities may be part of the program. Participation in experiences during an Event is at the Participant’s own risk and may be subject to additional conditions set by SemiFest or any third party it engages. Participation may be prohibited for certain Participants. Any specific conditions or prohibitions are indicated during the Event.
5.9 Every Participant is obliged to abide by the safety rules in and around the Event.
5.10 A Participant who ignores the Terms, (use) instructions, safety rules or house rules or in any other way disturbs public order and safety during the Event may be refused entry or further access to the Event.
Cancellation or change
6.1 SemiFest reserves the right to cancel an Event in case of insufficient registrations. SemiFest will inform the Participant of this cancellation in due course and will refund the ticket fee paid by the Participant.
6.2 SemiFest may move the Event to a different date or location. SemiFest will inform the Participant of this in due course. The ticket will remain valid. If the Participant is not able to attend the Event at the new date or location, SemiFest will refund the ticket fee to the Participant.
6.3 SemiFest may cancel an Event in case of an urgent reason or force majeure. Force majeure is to be interpreted broadly and includes but is not limited to: strikes, terrorist threat, decision to cancel by a competent authority, fire, extreme weather conditions, virus outbreaks or site problems (for instance construction problems).
6.4 If SemiFest has to cancel an Event due to an urgent reason or force majeure, SemiFest will refund the ticket fee as stated on the tickets to the Participant. Refunds will be made in the manner indicated by SemiFest. SemiFest will not refund service costs and will not be liable for (consequential) damage, direct or indirect.
6.5 Refunds will only be made on the condition that the Participant produces a valid Order Confirmation that proves that the Participant made the order.
7.1 Participation in the Event is at the Participant’s own risk. SemiFest is not liable for any damage or injury as a result of the Event, except in the case of intent or gross negligence by SemiFest.
7.2 In case of an attributable breach in the performance of the agreement by SemiFest, the liability of SemiFest is limited to compensation of the reasonable material and direct damage of the Participant, provided that the overall liability is limited to the sum paid out in such event under the applicable liability insurance of SemiFest. All damage should be reported immediately by the Participant to SemiFest by e-mail, but at least within 72 hours of the Event.
7.3 Any liability for indirect damage, including consequential damage, loss of profits, loss of business opportunities and loss due to business stagnation, is excluded.
7.4 SemiFest may engage third parties to help SemiFest organize, host or exploit the Event. Any liability of SemiFest for any failures of such third parties is excluded.
7.5 If a third party claims damages from SemiFest for which the Participant is liable against such third party, the Participant shall compensate SemiFest for all damages resulting from this claim including legal costs incurred by SemiFest.
Intellectual property rights
8.1 All intellectual property rights and any and all relating rights to Events organized by SemiFest and to tickets issued by SemiFest and to all material developed or made available pursuant to the agreement by SemiFest, including but not limited to copyrights, trademark rights and database rights, vest in SemiFest or its licensors.
8.2 The Participant is not entitled to publish, reproduce or make available to third parties the tickets issued by SemiFest or the material developed or made available by SemiFest, unless expressly permitted by SemiFest or by law. The Participant only acquires the rights of use and powers that are explicitly granted to the Participant by these Terms.
9.1 The Participant warrants that all data it provides to SemiFest are accurate.
10.1 The legal relationship between the Participant and SemiFest is governed by Dutch law.
10.2 All disputes, claims or any other cause of action arising out of or relating to the agreement shall be resolved by the District Court in Amsterdam.
10.3 Statutory relations on mandatory application of consumer protection law remain unaffected.
